Requirements: Need to be able to change the purchase price and % debt and stock used... but cash and the foregone interest on cash are unnecessary, which simplifies things. Also, they've given us incomplete information in a few spots and we need to go through and calculate some figures for Company A and Company B, such as the shares outstanding. SKIP the formatting! Step 2: Enter the financial information for Company A and Company B. Fairly straightforward, but remember that we need to calculate a few additional numbers for this to work, such as the shares outstanding for each company and the Net Income and EPS, at least for the buyer. Step 3: Calculate the "missing information" - Net Income, EPS, and Share Counts. Start with Pre-Tax Income, then calculate Net Income based on the tax rates for both companies, and then EPS... not completely necessary for Company B, but definitely need it for Company A. Then, calculate the Share Count for both companies and the Enterprise Value (just for reference). Step 4: Go up to the top and enter the key assumptions, starting with Question #1. To save time, skip the (1 + Premium) * Share Price * # Shares calculation and just calculate the purchase price based on the premium to Company B's Market Cap instead -- same result either way. Calculate %s for debt and stock, then the amount of debt raised, debt interest rate, and shares issued. Then, fill in the information about the synergies -- no information on expenses here, so we leave it out. Step 5: Combine the Income Statements for Company A and Company B. Start with the Synergies, and then combine all the other line items, factoring in those synergies on top. Remember to factor in acquisition effects, such as additional interest expense. Calculate down to EPS, making sure you include the NEW shares issued in the transaction and increase Company A's share count as appropriate. Step 6: Calculate Accretion / (Dilution) and the Pro-Forma Credit Stats. Take the combined company's EPS and divide by the buyer's EPS and subtract 1. For the credit stats, the two key ones are the Leverage Ratio (Net Debt / EBITDA here) and the Coverage Ratio (EBITDA / Interest) - so calculate those each year. Step 7: Create sensitivities... if you have time. Here, we would argue it's pointless since it takes more time and effort to set them up, and they don't save much time beyond the model we already have -- so we're skipping this step. Step 8: What is the POINT of this case study exercise? Takeaway #1: Even if we pay a higher premium for a seller, the deal might be MORE accretive depending on the purchase method... debt tends to be less expensive than stock. Takeaway #2: Company B is a very cheap asset -- MUCH lower P / E and EV / EBITDA multiples than Company A. When a more expensive buyer acquires a much less expensive seller, the deal will almost always be accretive. Company B's significantly higher tax rate also makes a difference -- Company A gets "free money" after the acquisition since it's only paying 25% in taxes rather than 40%. Takeaway #3: Using debt tends to produce more accretion than stock, but it also produces higher leverage ratios and lower coverage ratios -- so there is a trade-off between accretion / (dilution) and the credit stats following the deal.

Germany's biggest bank, and Europe's biggest investment bank, appears to be in trouble. So what do Deutsche Bank's problems say about the overall health of the financial system? Eight years on from the global financial crisis, are the banks still too big to fail? The bank's troubles date back to 2008, when it mis-sold banking products called Mortgage Backed Securities - the very straw that broke the global financial system almost a decade ago. The US Department of Justice is demanding $14bn back in fines from Deutsche Bank to settle civilian lawsuits related to the mis-selling. New European Union bail-in rules mean the German tax payer is protected from involvement with bank fines which all but rules out German state aid. Deutsche Bank has also failed banking "stress tests", which demonstrate how well banks would do in a severe market shock similar to the global financial crisis. But some argue that the position Deutsche Bank finds itself in is not quite as simple as it may seem. With what is predicted to be a solid balance sheet in terms of liquidity and deposit-loans ratio, Chris Wheeler, banking analyst at Atlantic Equities, a US brokerage firm based in London, clarifies: "The problem it [Deutsche Bank] has is two-fold really: It is still trying to rebuild its earnings in markets that aren't very favourable to it in investment banking. The other problem, of course, is its capital - it has something called a 10.8 percent common equity tier one ratio. That's kind of moderate compared to its peers, but obviously it's under pressure if we have this very substantial US fine." With a much stronger balance sheet than some of the biggest banks that fell in the crisis, such as Lehman Brothers, and a solid bill of deposits rendering not liquidity but capital as the main issue for Deutsche Bank, does this further solidify fears of another global crisis? "This has proved the point that 'too big to fail' is still with us. All the fear that gathered last week about Deutsche Bank and its prospects just reminded everybody that despite the fact that the balance sheets are much stronger, regulators will force banks to hold more capital, more liquidity, despite all of that ... if Deutsche Bank were to collapse into the mode of Lehman Brothers and bankruptcy, the ripples will be absolutely enormous," says Chris Wheeler. http://illuminatisilver.com http://facebook.com/illuminatisilver Deutsche Bank agrees to pay US Authorities $7.2bn Today is Friday 23rd December 2016 and we are briefly covering Deutsche Bank’s agreement to pay US Authorities $7.2bn. On the 30th September we produced a video entitled Deutsche Bank on the Brink of a deal with the Department of Justice concerning their $14bn potential fine for mortgage security fraud. Our conclusion to that video was that a deal was likely, though some in the internet world were calling that no deal would be agreed and that this was the beginning of the global financial collapse. Here are the words we used in our conclusion: “Although there is no corroboration that such a deal has been agreed, can anyone really and truly expect that the Authorities and Central Banks will allow Deutsche Bank to fail thereby creating a run on other major banks and possibly the collapse of the whole economic system? It isn’t going to happen – too big to fail”. Well it looks as if a deal has been struck. It is reported by the BBC and by Reuters today: “Germany's Deutsche Bank says it has agreed a $7.2bn (£5.9bn) payment to US authorities over an investigation into mortgage-backed securities. The sum, which needs final approval, is far lower than the $14bn the US had asked the bank to pay in September. That looming fine had caused concerns that a failure of the bank could pose a risk to the global financial system.” The Department of Justice's opening gambit was a $14bn fine. That would have been extremely serious for the company - equivalent to more than half of its market value. Deutsche was hoping to pay in the region of $5 billion, based on the penalties doled out to other banks which allegedly mis-sold mortgage-based investments. Of the $7.2bn only $3.1bn of that is actually a fine. The rest is made up of "consumer relief" - changes to loans and other help for borrowers - which can be spread over a period of 5 years that will aid a number of US homeowners. Investors, who had feared an even bigger penalty for Deutsche, were relieved and its shares gained more than 2%. They have risen more than 80% since hitting a record low at the end of September on fears the bank would need to raise cash from investors. Whilst we are no longer investment advisers and do not purport to be, we do recall a number on Youtube shouting avoid Deutsche Bank they are about to collapse – their shares could soon reach zero. Anyone who ignored those emotional outbursts and looked calmly at the situation could have calculated that the fear had been overdone and that there is not a cat in hells chance of the Government allowing Deutsche Bank to go to the wall. Some would have achieved a very attractive capital gain if they had realised this soon enough.
