Today we’re going to take a look at investing in IPOs or initial profit offerings. Investing in IPOs is something that people are often attracted to because they think that company could be the next Google, it could be the next Facebook or the next Microsoft, and as those companies increase their value in the future, you’re able to make money from your investment. Let’s take a look at some IPOs and I’ll share with you my own personal insights and wisdom about trading or investing in IPOs and maybe it’ll give you another perspective, and then you can make your own decisions. IPO basics. An IPO is an initial public offering. Which means you get to purchase a stock early on, when that company is new to the public market. Basically, you can’t buy a piece of a company if it’s a private company, but if it’s an IPO or public, you can get a little piece of that company before it gets to stage 10 as far as profitability goes. If the company is just starting, then you’re able to get it at level 1 or 2, other than waiting until it’s already a mature company, allowing you to capitalize on that growth from the beginning. Companies do an IPO in order to raise money, rather than getting a loan from a bank and having to pay the bank an interest rate. Instead what they do is get money from investors by doing an IPO. And then they can use that money to grow their business. What’s the big problem with most IPOs? Most IPOs are horrible investments. The problem is that when a company is just starting and it begins to grow, things start to change, and the company needs to figure things out. When a company does an IPO, there are a lot of new tasks that need to be done, there are a lot of new headaches that come, and it needs to figure those things out, and it’s kind of like a deer trying to stand up for the first time. The company is just trying to find its footing because it’s going to that next stage and level. So the growth of the company is on shaky ground. That's why you need to be careful when investing in IPOs. Usually, the enthusiasm pushes those stocks initially, sometimes to extreme valuations and higher prices, and if you’re able to get in at the right time and get profits at the right time, you can definitely capitalize and make a great deal of money if your timing is correct. But that doesn’t happen to every IPO or every single company. If the IPO is really good, if it’s a strong company, you don’t need to get in it the first day, week, month or even the first year. It takes one to two years for companies to digest things and start moving up. So there’s no need to rush into IPOs. How exactly does the laundering take place, using the exchange platform to convert black money into white. Here’s how. Ambareesh Baliga, managing partner, Global Wealth Management, Edelweiss Financial Services, explained this at a Moneylife Foundation event. He described the modus operandi of money laundering through listed companies. Mr Baliga, who has about 25 years of experience in the stock market, explains how a person reroutes his money through foreign investments in illiquid stocks which are manipulated by operators. Such manipulative trades involves an entity seeking long-term capital gains exemption by approaching an operator, who finds out an illiquid stock on the exchange platform and gets an allotment of shares done to the entity. Over a one year at least period the operator rigs the stock price up to a pre-determined level. This is when the foreign entity gets in, and gullible investors get in taking the stock higher as the earlier entity gets out. This enables conversion of unaccounted money into tax-free long term capital gains. Watch the video. NYSE Euronext (NYSE) and The Receivables Exchange (TRE), the leading online marketplace for U.S. receivables sales, today announced the launch of a joint strategic initiative to market TRE's Corporate Receivables Program (CRP) to potential sellers, including New York Stock Exchange listed companies. Under terms of the arrangement, the NYSE has acquired a minority ownership position in TRE. Terms of the investment were not disclosed. TRE's CRP is the world's first electronic marketplace for the standardized purchase and sale of corporate accounts receivable. Through an innovative auction model, TRE provides an efficient and transparent way for corporations to monetize receivables. CRP gives companies increased flexibility in managing working capital via receivables sales, access to diverse funding sources without adding leverage, off-balance sheet benefits, reduced complexity and time to market, and competitive cost of capital. The process lowers Days Sales Outstanding (DSOs) to as little as one day and allows companies to tap into the $17 trillion U.S. accounts receivable market. NYSE Euronext also announced the appointment of Paul DeDomenico as Head of Global Corporate Receivables Programs. DeDomenico is the former CEO of GE Capital - Working Capital Solutions and as a 23-year veteran of GE Capital has extensive commercial finance background in accounts receivable financing and factoring, leasing, and asset backed lending. Among other accomplishments, he developed and grew GE's global accounts receivable financing and servicing platform, Working Capital Solutions, from start up phase to $10 billion of assets. How Do REITs Work?

REITs, or real estate investment trusts, were created by Congress in 1960 to give all individuals the opportunity to benefit from investing in income-producing real estate. REITs allow anyone to own or finance properties the same way they invest in other industries, through the purchase of stock. In the same way shareholders benefit by owning stocks in other corporations, the stockholders of a REIT earn a share of the income produced through real estate investment, without actually having to go out and buy or finance property. This video provides some insight into what REITs are and how they work. The REIT industry has a diverse profile, which offers many benefits. REITs often are classified in one of two categories: Equity REITs or Mortgage REITs. Equity REITs own a wide range of property types including offices, shopping centers, hotels, apartments and much more. Equity REITs derive most of their revenue from rent on those properties. Mortgage REITs may finance both residential and commercial properties. Mortgage REITs get most of their revenue from interest earned on their investments in mortgages or mortgage backed securities. In addition, REITs may be publicly registered with the SEC and have their shares listed and traded on major stock exchanges, or they may be publicly registered with the SEC but not have their shares listed or traded on major stock exchanges, or they may be private companies (not registered with the SEC and not having their shares listed or traded on a stock exchange. Regardless of the type, REITs operate under a specific set of rules established by Congress. A REIT is an entity that: • is modeled after mutual funds • is treated by the Internal Revenue Code as a corporation • must be widely held by shareholders • must primarily own or finance real estate, and • must own its real estate with a longterm investment horizon. The IRS implements the REIT rules and oversees what qualifies as a REIT. The Internal Revenue Code requires a REIT to adhere to the following essential rules: at least 75 percent of the corporation's income must be earned from real estate as rent, real estate interest or from the sales of real estate assets; at least 75 percent of the corporation's assets must be real estate assets; and, at least 95 percent of income must be passive. REITs are required to distribute at least 90 percent of taxable income annually to shareholders as taxable dividends. In other words, a REIT cannot retain its earnings. Like a mutual fund, a REIT receives a dividends-paid deduction so no tax is paid at the entity level if 100 percent of income is distributed. REIT shareholders pay taxes on dividends at ordinary rates versus the lower qualified rate. Over time, REITs and the rules and regulations that govern them have evolved to meet the changing needs of the real estate industry and the broader economy. But throughout that process, REITs have remained true to the mission laid out by Congress in 1960: to make the benefits of income-producing real estate accessible to anyone and everyone.
